Terms of Service

1. The service

Boostly Rewards provides QR-powered loyalty, review-generation, and gamified-reward tools for local businesses. We may add, modify, or remove features at any time.

2. Eligibility & accounts

You must be at least 18 years old and authorized to bind your business to these Terms. You are responsible for safeguarding your credentials and all activity under your account.

3. Subscription, billing, and refunds

• Subscriptions are billed in advance on a recurring basis (monthly or annually) via Stripe.
• Fees are non-refundable except where required by law. You may cancel anytime — your plan remains active until the end of the paid period.
• We may change pricing with at least 30 days' notice by email.
• Failed payments may result in suspension after 7 days.
• Applicable taxes (VAT, sales tax) are added to the displayed price where required.

4. Acceptable use

You agree not to:

• Use the Service for illegal, deceptive, or fraudulent purposes.
• Offer rewards in exchange for fake, paid, or non-genuine reviews — this violates Google's review policies and these Terms.
• Upload malware, attempt to disrupt the Service, or reverse-engineer it.
• Send unsolicited marketing (spam) using contact data collected through the Service.
• Resell or sublicense the Service without our written consent.

5. Your content & data

You retain ownership of content you upload (logos, campaign copy, customer data). You grant us a limited license to host, process, and display it solely to provide the Service. You represent that you have all necessary rights and consents (including privacy notices to your end-customers).

6. Intellectual property

Boostly owns all rights in the Service, including software, designs, and trademarks. We grant you a non-exclusive, non-transferable license to use the Service during your subscription.

7. Third-party services

The Service integrates third-party services (Stripe for payments, Google for reviews, Supabase for hosting, email providers). Your use of those services is subject to their own terms.

8. Termination

You may cancel anytime from your billing page. We may suspend or terminate accounts that violate these Terms, with notice where reasonable. Upon termination we delete your data per our Privacy Policy.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee a specific number of reviews, followers, or revenue increases.

10. Limitation of liability

To the maximum extent permitted by law, Boostly's total liability for any claim arising from the Service shall not exceed the fees you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

11. Indemnification

You agree to indemnify Boostly against claims arising from your content, your violation of these Terms, or your violation of applicable law (including consumer-protection and privacy law).

12. Governing law

These Terms are governed by the laws of the State of New York, USA, excluding conflict-of-law rules. Disputes shall be resolved in the courts of Kings County, New York.

13. Changes to these Terms

We may update these Terms. For material changes we will notify you by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
